1. General
Lagutta Systems GmbH is a limited liability company, based in Schwerzenbach (Switzerland). Lagutta Systems GmbH has developed a software-based point-of-sale (POS) system for dry cleaners, laundries, and tailors. The POS system is called “lagutta.”
lagutta is intended exclusively for business customers. Customers within the meaning of these T&C are natural persons, legal entities or partnerships using lagutta in connection with their business or self-employed professional activities. Use of lagutta for private purposes is excluded.
These Terms and Conditions (hereinafter referred to as: T&C) govern the use of lagutta. By completing the registration, the Customer accepts these T&C.
Hereinafter, the term “lagutta” is used for the POS system. The term “Provider” is used for Lagutta Systems GmbH.
Further information about lagutta can be found on the website lagutta.com.
2. Scope of Services
The services and functionalities of lagutta are described on the website lagutta.com.
During the contract period, the Customer has access to lagutta. The right of use is non-transferable, non-exclusive as well as non-sublicensable.
3. Contract Formation and Duration
The contract for the use of lagutta is formed upon completion of the user account registration. Use begins with the one-time free trial period pursuant to Section 4.
Paid use of lagutta requires the activation of a paid subscription plan and the selection or provision of an accepted payment method. If the paid subscription plan is activated during the free trial period, paid use begins only after the trial period has expired. If no paid subscription plan has been activated by the end of the trial period, further use of lagutta will be suspended until paid use is activated.
The first paid usage period begins when paid use starts and ends on the last calendar day of the same month. Thereafter, each usage period corresponds to one calendar month and automatically renews for a further calendar month unless the contract is terminated in accordance with Section 6.
4. Prices
The use of lagutta is free of charge for the first 30 days following completion of the registration (so-called trial period). Day one of the free trial period is the day on which the registration is completed, regardless of the time of day.
The trial period is one-time only. This means the trial period applies to the use of lagutta, regardless of the chosen subscription plan.
After the free trial period has expired, continued use of lagutta is subject to a fee and requires activation of paid use in accordance with Section 3.
The fees for the respective usage period are billed on the last calendar day of the respective month. For a first usage period that does not cover a full calendar month, the fees are calculated on a pro rata basis. Payment is made using the payment method selected or provided by the Customer. Where payment is made by invoice, the payment term stated on the invoice applies. Any deviations from this are subject to a separate individual agreement between the respective Customer and the Provider.
Prices are listed on the website. Prices are exclusive of VAT. For customers based in Switzerland, the applicable currency is Swiss Francs. In all other cases, EUR is the applicable currency.
5. Price Adjustments and Changes to the Scope of Services
The Provider has the right to adjust the scope of services and/or the fees for lagutta. The Customer will be informed in advance of any significant changes. If the Customer does not agree with the adjustment, the Customer has the right to terminate the contract at the end of the current usage period.
6. Termination
The contract may be terminated at any time electronically through the user account in the Lagutta Back Office. Termination takes effect at the end of the current usage period. The Customer may continue to use lagutta until the end of the current usage period.
Payments are non-refundable, and no refunds or credits will be issued for partially used usage periods.
7. Customer Support
Customer support is available to the Customer during the Provider's business hours.
The Provider may make new versions and software updates of lagutta available. If an update is required for the secure, proper or continued operation of lagutta, continued use of lagutta may be made conditional upon installation of that update. The Customer will be informed accordingly within lagutta and is required to install the necessary update.
8. Liability
We strive to provide high-quality service and ensure the uninterrupted availability of lagutta. However, we do not guarantee uninterrupted or error-free operation or availability of lagutta.
In particular, we are not liable for damages caused by force majeure or disruptions due to lack of internet connection, illegal attacks by third parties, network overload, or other interruptions by third parties.
We are also not liable for damages incurred by the Customer through the use of lagutta, except in cases of gross negligence or willful misconduct.
9. Data Protection and Data Processing
The handling of personal data is described in the privacy policy. The current privacy policy can be accessed on lagutta.com.
10. Severability Clause
Should individual provisions of these Terms and Conditions be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected.
11. Changes to the Terms and Conditions
The Provider may amend these Terms and Conditions. The Customer will be informed of significant changes at least one month before they take effect. If the Customer does not agree with the changes, the Customer may terminate the contract at the end of the current usage period.
12. Jurisdiction and Applicable Law
For all disputes related to the use of lagutta, Swiss law applies exclusively, excluding the provisions of international private law (IPR) and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The exclusive place of jurisdiction is the registered office of Lagutta Systems GmbH.
These Terms and Conditions are available in German, English, French and Italian. In the event of any discrepancies between the language versions, the German version shall prevail.
